Corporate and Commercial

Our lawyers have expertise in cross-border and BEE transactions, servicing local and international clients. In structuring and negotiating transaction agreements, we focus on our clients’ strategic objectives. For us the transaction process does not end once agreements have been concluded. We seek to see each transaction through from its inception, through negotiation, the conclusion of agreements to closing and implementation.


Corporate Governance

Corporate governance is central to the sustainability and growth of the modern business. The inception of the Companies Act, 71 of 2008 introduced profound changes to corporate governance in South Africa which are central to the duties of directors and the roles of shareholders. Due to their practical experience in working with the Act on a case by case basis and the challenges which the Act seeks to address, our lawyers are in a prime position to advise on sound principles of governance.


Competition Law

Competition has become a focal point of the South African economy as competition law and policy have developed and become increasingly regulated. Our team has experience in merger control of both large and intermediate mergers in South Africa and in prohibited practices, including abuse of dominance litigation. Our lawyers have been involved in matters which have been considered by all three of the independent institutions established in terms of the Competition Act, namely the Competition Commission, the Competition Tribunal and the Competition Appeal Court. The firm is well placed in its ability to integrate the negotiation and conclusion of commercial transactions with the reporting of those transactions to the competition authorities.

Gambling and Betting

Gambling and betting is a complex and specialised area of legal practice in South Africa which requires knowledge of the industry.  Our lawyers have a keen understanding of and experience in applying the National and Provincial Gambling Acts which have been developed through making representations to and filing objections with various provincial gambling boards, preparing and submitting applications for gambling and betting licences, representing clients at gambling board hearings and instituting internal appeals, applications for judicial review and engaging in litigation in circumstances in which it is necessary to do so.

The commercialisation of intellectual property enables firms to unlock new income streams or supplement and grow their existing income streams, thereby combatting increasing operating costs and declining revenues.
